When you install Windows XP, part of the validation procedure involves creating a “hardware hash” that is unique to the machine. This hardware hash is stored along with the product key somewhere in the bowels of Microsoft’s validation database. Usually changing a hard drive or memory will not make a big enough change to require a re-register. A new mother board though would defiantly seem to be a new computer.
I've had to do this a few times, and it takes less than 10 minutes, and is very easy.
Good Luck
