An MSI file is a self installer application. Are you running anything else? It may be a long running program and you are trying a second install before the first one finishes?
Press ctrl + alt + del to open task manager and click processes to check the said service is running or not. Probably it is running, just select the process related to quick heal and click end process button. After that again start the installation and hope it will o its job.
Generally, 32-bit can support on 64-bit, while 64-bit never install on 32-bit. However, ti is always safe to install right version for better performance.
