Basically modem is based on data link layer while router is based on network layer. Modem can connect to one computer using nic and router connects to more than one computer/ networking devices thru nic/ wifi. These are just few, and there are more differences in between them. However, you did not reveal the cause behind the Q ! Please come back with more details.
