Windows SBS2003 & SBS2008 premium
Can I have Windows SBS2003 standard as a DC and SBS2008 premium as member server on the same network. I was told SBS2008 will try to be DC and I may run into problem. is it true?

No, that is not supported and will not work. May I ask why you would want to try this configuration? What are you attempting to accomplish?

I have a server running SBS2003 as a Domain Controller. This is my exchange server as well. I have another server running windows 2000 with SQL 2000. I need to replace the second server with SQL 2005. I was told SBS 2008 Premium has built-in SQL2005 and will be cost effective.

You really need to research the 2008 SBS as the premium will require 2 servers. SBS 2008 I also suggest you look at SBS 2003 to 2008 Swing Migration
