Hyper-V is a true bare metal Hypervisor, which offers greater performance and other features like 64-bit guest support. You may want to stay with Virtual Server if you do not have the 64-bit processor with Intel VT or AMD-V CPU support, or if you need support for Guest OSes that Virtual Server supports.
