Moving from SQL 2005 32 bit - SQL 2005 64 bit. What are the problems which can be faced during this move.

About the only things that you’ll notice are:

DTS doesn’t work anymore
SQL Mail doesn’t work anymore
SSIS Packages and Linked Servers will need x64 drivers installed instead of x32 drivers.

Everything else will be fine. You can easily move a database from x32 to x64 with ease.
