I installed windows server2003 standard 32 bit edition in one system and exchange server 2003 installed in anther system. DHCP server is separated from the above two. 1.       Now I want to move windows 2003 standard including DNS and Active directory to windows 2003 enterprise 64 bit edition including DNS and AD 2.       I don’t want move DHCP server which is in separate server with windows server 2003 enterprise 64 bit edition 3.      after moving  And also I want to install Exchange server2007 on windows 2003 enterprise 64 bit edition with DNS,AD

4.can you suggest both exchange server2007 and  dns sever on the same server

bad news. there is no upgrade path from windows server 2003 32bit to 64-bit. you're going to have to rebuild the server with 64bit.
