We are outsourcing our Exchange 2007 day to day administration, how do we monitor administrators activities for audits & ensuring no breach of confidentiality.

You will need a third-party tool for this. Maybe someone is already using one successfully who coud recommend it. I have reviewed the one from Quest software but we ou compnay is not allocating any spending for this sort of thing so I have not used it. Looks good though.

Third Party Tool would Definitely Help you but by the time you can use Exchange Console or dsa.msc to check the security and check whether they have redirected Mails to some other mail boxes. this process would make you very busy.
If you want to check the performance of the Server just use Solarwinds free tool. it will definitely Help u out.
