How to establish a hotspot with http-proxy needed local wired lan on PC?

Greetings, The situation is that my local wired lan needs a http-proxy for surfing on Internet, also this proxy supports ftp,https service. Now I want to creat a wireless hotspot on my laptop for sharing my Internet connection with my colleague. The laptop has both XP and Vista OS with both wired and wireless adapter. Does anyone know of a way or software that does that? Thanks
