File Server Migration

Hi all, I am a new Windows network admin. I've been an unix admin before but have been out of the administration side for quite some years. Anyway, I'm replacing my win 2000 file server to Windows 2003 Storage server. We're not using Active Directory. It's, actually, a NT backbone. I wanted to put a plan together. What things should I be concerned about? What would be a good tool to do this? Any suggestions will be greatly appreciated. Thx.
