The task is an easy one, simply create your P2V machine and then, with scheduled downtime, switch on the VM and off the real one....that should do it easily.

I would recommend building & introducing a new virtual Exchange Server and then perform migrations of existing mailboxes from the physical Exchange to the virtual Exchange. I've seen mixed results by P2Ving a physical Exchange to virtual.
