Hi we are changing our company name and creating a new forest. How do we migrate our exchange into the new domain?

Create the new forest and then create the trust between forests. Once the trust is enabled, you can proceed with the migration between forests. I would recommend you review going to Exchange 2007 built on Windows 2008 since it has great functionality with migration as compared to previous versions.
