i am used vm ware. windows 2003 server sp1 used and IIS, framwork 2.0 and powershell, MMC installed. but exchange server 2007 installation some warning in 32bit version and failed installation

You do know that Exchange 2007 requires 64-bit operating system. See this link for details

Exchange 2007 can be installed on a 32 bit vm server, but this is recommended for test lab purposes only.
