In your current AD, run adprep and extend the schema to the 2008 R2. Then dcpromo the new server and make it a domain controller. When you are ready to remove the old server (I would let it be for at least 60-90 days in case problems arise) dcpromo the old one after all roles are moved to the new server.

Commision the Server 2008 R2 into your forrest, move all the fsmo roles, dns, dhcp etc, decommission your old box and go native, this is a very low level how to but gives the basic steps.

Moving Windows Server 2003 AD environment to Windows Server 2008 can be done in 3 distinct ways…. In-place upgrading; Transitioning ; Restructuring. Keep in mind the followings !
1. Windows Server 2003 patch level should be at least Service Pack 1
2. It is not possible to upgrade across architectures (x86, x64 & Itanium)
3. Standard Edition can be upgraded to both Standard and Enterprise Edition
4. Enterprise Edition can be upgraded to Enterprise Edition only
5. Data center Edition can be upgraded to Data center Edition only
