It requires ASP.NET 2.0 32-bit and IIS 6.0 configured to run this. With Windows Server 2003, IIS 6.0 can run 32-bit applications on a 64-bit Windows using a compatibility layer which is called WOW64.
NOTE: Once it is configured IIS 6.0 to run on 32-bit, it is not possible to run other 64-bit web applications. And install the both prior, before installing Sql Server 2005 32 bit.

    As already said, it is possible to install 32bit SQL in a 64bit Windows Server. Even so, note that this installation *will* be limmited to the constraints of a 32bit SQL installation. In this scenario and if you can, go with SQL x64

    Ok; 64 bit version is ok for me. is there any issue if I consider following Scenario 1) Migration from 32 bit SQL server 2000&2005 to 64 bit SQL Server 2005 or 2008 Most probably we will go for SQL 2008R2 64 bit.

    There is no SQL2008R2 that i know of. (read this) In spite of that you should have no major problems. You should check with you're software vendor/manufacturer if this upgrade is doable. If they exist, the major problems should come form the software that accesses those databases.

    Yes there is SQL Server 2008 R2. It has been out for about a year now.
